IMPACT HOUSING NATIONAL STRATEGIC ALLIANCE
MEMBERSHIP TERMS AND CONDITIONS

These Membership Terms and Conditions (“Terms”) govern membership of the Impact Housing National Strategic Alliance (“Impact Housing Alliance”, “Alliance”, “we”, “us” or “our”), including participation in the Alliance’s Hospital to Home Pathway and related professional, education and engagement programs.
By submitting a membership application, paying a membership fee, accepting complimentary participation, renewing membership, or accessing or using membership benefits, the applicant or Member (“Member”, “you” or “your”) agrees to be bound by these Terms.
1. NATURE AND PURPOSE OF THE ALLIANCE
The Impact Housing National Strategic Alliance is a national professional, industry, education and cross-sector collaboration platform designed to strengthen housing pathways, improve professional connections, support information and evidence sharing, and facilitate strategic engagement across Australia’s housing, health, community and related sectors.
The Alliance may bring together organisations and professionals working across areas including:
• social and affordable housing;
• community housing;
• Specialist Disability Accommodation (SDA);
• Supported Independent Living (SIL);
• supported and accessible accommodation;
• Short Term Accommodation and Medium-Term Accommodation;
• hospital-to-home and discharge pathways;
• hospitals and healthcare;
• allied health;
• rehabilitation;
• aged care and community care;
• disability services;
• mental health and psychosocial housing;
• homelessness and Housing First initiatives;
• domestic and family violence housing;
• youth and transitional housing;
• justice and reintegration housing;
• regional and workforce housing;
• property development and construction;
• modular and modern methods of construction;
• investment, finance and funding;
• government and policy;
• universities and research institutions; and
• associated professional and advisory services.
Membership is intended to provide access to professional engagement, education, information sharing, industry discussion, selected forums, collaboration opportunities and other benefits relevant to the applicable membership category.
Unless expressly agreed otherwise in writing, the Alliance is not a referral agency, participant or patient placement service, clinical service, care provider, brokerage service, investment adviser, financial adviser, procurement service or government agency.
Membership does not create a partnership, joint venture, agency, employment relationship, fiduciary relationship, franchise or other legal association between the Alliance and a Member.
A Member has no authority to represent, bind or make commitments on behalf of the Alliance unless expressly authorised in writing.
PART A — MEMBERSHIP CATEGORIES, FEES AND BENEFITS
2. MEMBERSHIP FRAMEWORK
The Alliance provides membership through two principal streams:
Impact Housing National Strategic Alliance Membership
Supporting broader professional and cross-sector participation across housing, community services, development, investment, government, research and related sectors.
Hospital to Home Pathway Membership
Supporting professional education, information sharing and engagement relating to hospital discharge, healthcare transitions, disability, accommodation, rehabilitation, aged care and community-based pathways.
Applicants must apply under the membership category that most accurately reflects their principal professional or organisational activities.
All applications are subject to eligibility assessment and Alliance approval.
Unless expressly stated otherwise, paid membership is valid for 12 months from the date of approval and activation.
All membership fees are stated in Australian dollars and include GST unless expressly stated otherwise.
3. IMPACT HOUSING NATIONAL STRATEGIC ALLIANCE MEMBERSHIP
3.1 Not-for-Profit Membership
$750 per organisation per annum including GST
Available to approved not-for-profit, charitable, community and purpose-led organisations operating within or supporting Australia’s housing, health, community, human services and related sectors.
Eligible organisations may include community housing providers, charities, not-for-profit housing organisations, community service organisations, homelessness services, mental health organisations, youth and family services, domestic and family violence organisations, community-based housing organisations, disability organisations and other approved not-for-profit organisations aligned with the objectives of the Alliance.
The Alliance may request reasonable evidence of an organisation’s not-for-profit status.
Membership benefits may include:
• 10% Member rates for selected Alliance conferences, summits, forums and events;
• invitations or eligibility to participate in selected professional forums, workshops and industry discussions;
• eligibility for selected roundtables and stakeholder engagement activities;
• access to monthly live webinars
• access to selected educational and information-sharing sessions;
• access to selected housing, health, policy, research and industry information;
• selected webinars and professional briefings;
• opportunities for cross-sector engagement and collaboration;
• Member communications and industry updates;
• Distribution of marketing materials such as brochures at events
• Links to other members and services
• 10% off member services from other members
• opportunities to contribute to relevant professional, policy and industry discussions;
• selected networking and professional relationship-building opportunities; and
other benefits or opportunities made available to this membership category from time to time.
3.2 Commercial & Private Organisation Membership
$1,100 per organisation per annum including GST
Available to approved commercial and privately owned organisations, including small to medium businesses, operating within or supporting housing and related sectors.
Eligible organisations may include property developers, builders, construction companies, architects, designers, planners, property consultants, valuers, financiers, lenders, investors, modular and prefabricated housing organisations, technology providers, legal, accounting and advisory organisations, suppliers and other approved commercial organisations relevant to the objectives of the Alliance.
Membership Benefits include:
• 10% Member discount on selected Alliance conferences, summits, forums and events;
• 10% Member discount on selected sponsorship opportunities, subject to availability and approval;
• invitations or eligibility to participate in selected professional forums, industry discussions, roundtables and stakeholder engagement activities;
• the opportunity to host up to four (4) live Member webinars per membership year, subject to topic relevance, scheduling and prior Alliance approval;
• complimentary access to selected monthly live webinars and professional briefings;
• opportunities to distribute approved brochures and promotional materials at selected Alliance events, subject to event conditions;
• opportunities to connect and collaborate with other Alliance Members and access information about relevant Member services;
• access to selected Member-to-Member offers and benefits, including discounts of up to 10% where offered by participating Members;
• 1 complimentary 1.8-metre trestle table display at selected conferences, summits or forums during the membership year, subject to availability, venue requirements and prior approval;
• access to selected educational sessions, professional briefings and information-sharing activities;
• opportunities for cross-sector professional engagement and collaboration across housing, health, community, government and industry;
• regular Member communications, industry updates and Alliance information;
• opportunities to participate in selected consultation, research and evidence-sharing initiatives;
• selected Member recognition and profiling opportunities through Alliance channels and activities;
• 2 complimentary networking event tickets per membership year, with a combined value of up to $195; and
• 1 complimentary conference ticket per membership year valued up to $590 when purchased in conjunction with one paid ticket to the same conference, with the complimentary ticket limited to the same or lesser value and subject to availability and event conditions.
Membership benefits are available during the applicable membership period and are subject to eligibility, availability, capacity and any conditions applying to the relevant event, program or activity. Unless expressly stated as a guaranteed inclusion, membership provides eligibility for the benefit and does not guarantee availability at every Alliance event or activity.
Where an organisation is principally a disability-sector or NDIS service business seeking participation in the Hospital to Home Pathway, it must apply under the Hospital to Home — Disability Sector Business Membership.
The Commercial & Private Organisation Membership must not be used as an alternative lower-cost pathway to obtain Disability Sector Business participation in Hospital to Home.
3.3 Government, University & Research Participation
Complimentary participation, subject to eligibility and Alliance approval
Annual onboarding and administration fee: $150 plus GST
Available to approved representatives of:
• Commonwealth, State and Local Government;
• government departments;
• government agencies;
• statutory authorities;
• universities;
• recognised research institutions; and
• approved researchers.
Complimentary participation is intended to support policy engagement, research, evidence sharing, education, consultation and cross-sector professional discussion.
Participation benefits may include:
• 10% Member rates for selected events;
• invitations to selected Alliance forums, discussions and roundtables;
• participation in relevant research, policy and evidence-sharing activities;
• opportunities to contribute government, policy, academic or research perspectives;
• selected educational and industry briefings;
• cross-sector engagement with relevant housing, health, community and industry stakeholders;
• participation in selected conferences, workshops or professional activities where invited;
• relevant Alliance communications and updates; and
• other opportunities determined by the Alliance.
Complimentary participation does not automatically provide an entitlement to commercial promotion, sponsorship, exhibition opportunities, speaking or panel positions, access to attendee information, or participation in every Alliance activity.
Complimentary participation is not transferable to a commercial organisation.
The Alliance may determine that an organisation undertaking predominantly commercial activities is more appropriately classified under a paid membership category.
Eligibility may be reviewed from time to time and remains subject to Alliance approval.
PART B — HOSPITAL TO HOME PATHWAY
4. PURPOSE OF THE HOSPITAL TO HOME PATHWAY
The Hospital to Home Pathway is a dedicated professional education, information-sharing and cross-sector engagement stream of the Impact Housing National Strategic Alliance.
It is designed to bring together relevant professionals and organisations involved in supporting transitions from hospitals, rehabilitation facilities and other healthcare environments into appropriate care, housing, accommodation and community-based supports.
Hospital to Home may support professional engagement across hospitals, healthcare services, allied health, nursing, rehabilitation, aged care, community health, housing, disability services and other relevant transition and support systems.
Hospital to Home education and professional discussions may address matters including:
• hospital discharge planning;
• reducing delayed discharge;
• housing before discharge;
• roles and responsibilities across health, disability, aged care and community systems;
• NDIS pathways;
• SDA;
• SIL;
• Short Term Accommodation;
• Medium Term Accommodation;
• Individualised Living Options and other living arrangements;
• allied health assessments;
• equipment and supports prior to discharge;
• aged care pathways;
• rehabilitation;
• supported accommodation;
• mental health and psychosocial pathways;
• transitional housing;
• community-based supports;
• funding and service pathway education;
• consent and privacy;
• communication between hospitals and external organisations;
• complex support requirements;
• transition planning;
• professional responsibilities; and
• sustainable transitions from hospital into the community.
Hospital to Home activities are intended to improve professional understanding, education, communication and cross-sector collaboration.
The Hospital to Home Pathway is not a referral agency, patient allocation service, participant placement service, brokerage service or preferred-provider network.
5. HOSPITAL TO HOME MEMBERSHIP CATEGORIES
Hospital to Home operates under separate membership categories recognising the different roles, responsibilities and commercial interests of individual health professionals, healthcare organisations and disability-sector businesses.
The Individual Professional Membership and Hospital & Healthcare Service Membership are specifically intended for eligible professionals and organisations operating principally within health, hospitals, allied health, nursing, rehabilitation and aged care.
They are not alternative lower-cost membership categories for commercial disability-sector or NDIS provider businesses.
5.1 Hospital to Home — Individual Professional Membership
$550 per individual per annum including GST
Available to approved individual professionals whose principal professional role is within:
• hospitals;
• healthcare;
• allied health;
• nursing;
• rehabilitation;
• aged care; or
• another approved clinical or health-related professional field.
Eligible individuals may include Occupational Therapists, nurses, allied health professionals, hospital social workers, Hospital Liaison Officers, Disability Liaison Officers employed within hospitals or healthcare services, discharge planning personnel, patient flow personnel, rehabilitation professionals, aged care professionals, Case Managers working within health or hospital environments, clinical professionals and other approved health professionals relevant to Hospital to Home pathways.
Membership benefits include:
• 20% Member access or rates for selected Hospital to Home educational sessions;
• invitations or eligibility for selected professional forums and workshops;
• eligibility for selected Hospital to Home roundtables;
• selected webinars and professional briefings;
• access to selected Hospital to Home educational information and resources;
• professional and cross-sector discussion;
• relevant Member communications and updates;
• selected professional development and information-sharing opportunities;
• opportunities to contribute relevant professional perspectives; and
other benefits made available to this category from time to time.
Individual membership is attached to the approved individual and is not automatically transferable to another person, employer or organisation.
The Individual Professional Membership must not be used by an owner, director, employee or representative primarily for the purpose of obtaining Hospital to Home business participation on behalf of an NDIS provider, SIL provider, SDA provider, Support Coordination business, disability accommodation provider, disability support organisation or other commercial disability-sector business.
Such organisations must apply under the Hospital to Home — Disability Sector Business Membership.
5.2 Hospital to Home — Hospital & Healthcare Service Membership
$750 per organisation per annum including GST
Available to approved:
• public hospitals;
• private hospitals;
• hospital networks;
• health services;
• allied health organisations;
• rehabilitation services;
• community health organisations;
• aged care providers;
• healthcare organisations; and
• other approved clinical or health-related services.
Membership benefits include:
• organisational participation in selected Hospital to Home educational activities;
• invitations or eligibility for selected Hospital to Home forums and workshops;
• eligibility for selected professional roundtables;
• access to selected Hospital to Home briefings and educational resources;
• opportunities to contribute hospital, health, allied health, rehabilitation or aged care perspectives;
• selected cross-sector engagement and information-sharing opportunities;
• selected consultation and research opportunities;
• relevant Member communications and professional updates; and
other benefits made available to this category from time to time.
The number of representatives permitted to participate in an individual activity may be limited according to capacity, professional relevance, sector balance, stakeholder requirements, confidentiality requirements and the purpose of the activity.
This category is not available to NDIS providers, SIL providers, SDA providers, Support Coordination businesses or other commercial disability service businesses seeking Hospital to Home participation.
Those organisations must apply under the Hospital to Home — Disability Sector Business Membership.
5.3 Hospital to Home — Disability Sector Business Membership
$3,300 per business per annum including GST
Membership Benefits include:
• priority eligibility for selected Hospital to Home educational forums, workshops and professional roundtables, subject to capacity, relevance and Alliance approval;
• access to selected Hospital to Home briefings, webinars, educational sessions and information-sharing activities;
• opportunities for appropriate cross-sector professional engagement and collaboration with participating health, hospital, allied health, housing, community, government and other relevant stakeholders;
• eligibility for selected stakeholder engagement activities and professional discussions;
• opportunities to contribute disability-sector expertise and professional perspectives to relevant Hospital to Home discussions;
• relevant Member communications, industry updates and professional information;
• two (2) complimentary conference or summit tickets per membership year, with a combined value of up to $900, for selected Alliance conferences and summits;
• up to 4 complimentary 1.8-metre display table spaces at Alliance conferences, summits and forums where display or exhibition space forms part of the event, subject to venue requirements and availability;
• two (2) complimentary networking event tickets per membership year, with a combined value of up to $195;
• opportunities to distribute approved brochures and marketing materials at selected Alliance conferences, summits, forums and networking events, subject to event and venue requirements;
• 10% Member discount on additional tickets to selected Alliance conferences, summits, forums and events;
• access to selected Member-to-Member benefits, including a 10% discount on funding assessment services and other professional services where offered by participating Members;
• selected consultation, research and evidence-sharing opportunities;
• selected professional networking, relationship-building and cross-sector collaboration opportunities; and
other benefits and opportunities made available to Hospital to Home — Disability Sector Business Members from time to time.
Where access to attendee contact information is expressly offered in connection with a particular event or activity, information will only be provided where the relevant attendees have provided appropriate consent and subject to applicable privacy laws, the Alliance Privacy Policy and any conditions attached to that consent.
6. RESTRICTED AND INVITATION-ONLY HOSPITAL TO HOME ACTIVITIES
Hospital to Home membership does not provide an automatic entitlement to attend every Hospital to Home forum, hospital roundtable, government engagement, healthcare discussion or stakeholder activity.
Certain activities may be:
• invitation-only;
• capacity-limited;
• restricted according to professional relevance;
• restricted to particular membership categories;
• limited to particular organisations or professional roles;
• restricted at the request of participating stakeholders;
• subject to confidentiality requirements;
• subject to professional standards;
• subject to sector balance requirements; or
• otherwise subject to Alliance approval.
The Alliance may determine attendance in order to preserve appropriate sector representation, professional balance, confidentiality, participant safety, stakeholder confidence and the educational and professional purpose of the Hospital to Home Pathway.
Eligibility for an activity does not constitute guaranteed attendance.
7. HOSPITAL TO HOME PROFESSIONAL CONDUCT AND NO SOLICITATION
Hospital to Home activities are intended to provide a professional environment for education, information sharing, discussion and cross-sector engagement.
Members must not use Hospital to Home activities to:
• directly or aggressively solicit hospital, healthcare, government, statutory or other invited representatives for referrals, participants, placements, service opportunities or business;
• pressure healthcare professionals or other stakeholders for referrals;
• directly solicit patients, participants or vulnerable persons without appropriate authority;
• improperly seek access to confidential patient or participant information;
• imply that they are a preferred hospital, government or Alliance provider;
• imply hospital, government or Alliance endorsement;
• use attendee information for inappropriate or unsolicited marketing;
• circumvent an engagement pathway requested by a participating hospital, health service, government agency or other organisation; or
• treat professional Hospital to Home forums primarily as sales or lead-generation environments.
Professional conversations, genuine relationship building and the mutual exchange of contact details are permitted where the engagement is appropriate and welcomed by the parties involved.
Where a discussion develops into a potential commercial opportunity arising through an Alliance-facilitated connection, Members may be required to discuss the appropriate engagement pathway with the Alliance.
Where an invited organisation requests assistance identifying appropriate housing, accommodation, support or service options, Members must respect the organisation’s preferred pathway for further engagement, including where it requests that the Alliance facilitate or coordinate the connection.
The Alliance may facilitate an appropriate professional introduction where requested and suitable.
Any subsequent relationship, agreement, transaction or service arrangement remains a matter for the relevant parties.
PART C — GENERAL MEMBERSHIP CONDITIONS
8. MEMBERSHIP APPLICATIONS AND APPROVAL
All membership applications are subject to assessment and approval by the Alliance.
Submission of an application and payment of a membership fee does not automatically guarantee acceptance.
The Alliance may, acting reasonably and subject to applicable law, accept or decline an application where it considers that the applicant:
• does not meet the eligibility requirements;
• has selected an inappropriate membership category;
• does not sufficiently align with the objectives or professional purpose of the Alliance;
• presents an actual or potential conflict of interest;
• is a direct competitor of the Alliance where that conflict could reasonably affect Alliance operations;
• has provided false, misleading or materially incomplete information;
• presents material regulatory, legal, professional, safety or reputational concerns;
• has previously engaged in serious or inappropriate conduct; or
• is otherwise reasonably considered unsuitable for membership.
Where a paid membership application is declined before membership is activated, the applicable membership fee will be refunded.
9. MEMBERSHIP CLASSIFICATION
Applicants must select the membership category that accurately reflects their professional or organisational status.
The Alliance may request reasonable information or evidence to verify eligibility.
The Alliance reserves the right to determine the appropriate membership category where an applicant’s activities, structure or eligibility are unclear.
Where an incorrect membership category has been selected, the Alliance may require the applicant to pay the applicable difference before membership is activated or renewed.
A Member must notify the Alliance if there is a material change in circumstances that may affect eligibility for their membership category.
10. MEMBERSHIP PERIOD
Unless otherwise expressly stated, paid membership is valid for 12 months from the date membership is approved and activated.
Membership benefits must be used during the applicable membership period.
Unused benefits, invitations, discounts, promotional opportunities or other membership inclusions do not automatically carry forward into a subsequent membership period.
Complimentary Government, University & Research participation may be reviewed periodically and remains subject to continued eligibility and Alliance approval.
11. GENERAL CONDITIONS APPLYING TO MEMBERSHIP BENEFITS
Membership benefits vary according to the applicable membership category and are subject to these Terms and any specific conditions applying to a particular event, program, forum, roundtable, workshop or activity.
Not every benefit is available to every Member.
Benefits may vary according to:
• membership category;
• professional or organisational eligibility;
• the nature and purpose of the particular program;
• capacity;
• sector representation;
• stakeholder requirements;
• confidentiality requirements;
• availability; and
• other requirements relevant to the activity.
Where a benefit is expressly stated to be included in a particular membership category, that benefit will be provided subject to stated conditions, availability and circumstances beyond the Alliance’s reasonable control.
Where membership provides eligibility, an invitation, opportunity, selected access, consideration or potential participation, this does not create a guaranteed entitlement to that activity.
12. NO AUTOMATIC ACCESS TO ALL ALLIANCE ACTIVITIES
Membership does not automatically provide a right or entitlement to:
• participate in hospital or healthcare stakeholder meetings;
• participate in government engagements;
• attend invitation-only or restricted activities;
• receive a speaking or panel position;
• receive sponsorship or exhibition opportunities;
• receive promotional exposure;
• access Member, attendee or stakeholder information;
• receive professional introductions; or
• participate in every Alliance program or initiative.
Certain activities may be limited or restricted by the Alliance according to their purpose, capacity, professional relevance, confidentiality, stakeholder requirements or other legitimate program considerations.
13. NO GUARANTEE OF REFERRALS OR COMMERCIAL OUTCOMES
Membership provides access to professional, educational, collaborative and industry engagement opportunities relevant to the applicable membership category.
Membership does not guarantee:
• referrals;
• patients;
• NDIS participants;
• clients;
• residents;
• tenants;
• housing placements;
• accommodation placements;
• SDA placements;
• SIL or other service agreements;
• occupancy;
• contracts;
• sales;
• funding;
• grants;
• investment;
• finance;
• procurement opportunities;
• development opportunities;
• professional introductions;
• partnerships;
• sponsorship;
• speaking opportunities;
• government access;
• hospital access;
• preferred-provider status; or
• any particular financial, professional or commercial outcome.
Members remain responsible for their own professional, commercial, investment and operational decisions.
14. MEMBERSHIP IS NOT ACCREDITATION OR ENDORSEMENT
Membership does not constitute accreditation, certification, licensing, regulatory approval, recommendation, preferred-provider status or endorsement by the Alliance.
The Alliance does not warrant or guarantee a Member’s:
• professional competence;
• qualifications;
• regulatory compliance;
• financial position;
• services;
• products;
• accommodation;
• housing;
• development;
• investment opportunity; or
• suitability for a particular purpose.
Members must not represent themselves as approved, accredited, endorsed, certified, recommended or preferred by the Impact Housing National Strategic Alliance merely because they hold membership.
A current Impact Housing Member may accurately state:
“Member of the Impact Housing National Strategic Alliance.”
An approved Hospital to Home Member may accurately state:
“ Impact housing Hospital to Home Pathway Member.”
Neither description may be used in a manner that implies endorsement, accreditation, preferred-provider status or guaranteed access to government, hospitals, patients or participants.
15. MEMBER CONDUCT AND PROFESSIONAL STANDARDS
Members must conduct themselves professionally, ethically and respectfully.
Members must not:
• engage in harassment, intimidation, discrimination or inappropriate conduct;
• engage in aggressive or persistent sales activity;
• improperly solicit vulnerable persons;
• pressure another professional for referrals;
• improperly seek confidential patient or participant information;
• misrepresent their relationship with the Alliance;
• make false or misleading representations regarding their qualifications, services or capabilities;
• falsely claim Alliance accreditation or endorsement;
• misuse confidential or commercially sensitive information;
• misuse stakeholder, attendee or Member contact information;
• interfere with the proper conduct of an Alliance activity;
• misuse Alliance branding; or
• engage in conduct reasonably likely to materially damage the integrity, professional standing or reputation of the Alliance.
Additional Codes of Conduct and participation requirements may apply to particular programs, forums, events or activities.
16. GOVERNMENT, HOSPITAL AND STRATEGIC STAKEHOLDER ENGAGEMENT
The Alliance may engage with government departments, government agencies, statutory authorities, hospitals, healthcare services, universities, researchers, community organisations, housing organisations and other public, private and community stakeholders.
Membership does not create an automatic entitlement to access, meet or directly engage with those organisations.
The Alliance may restrict attendance at selected engagements to maintain appropriate professional representation, confidentiality, stakeholder confidence and the integrity of the discussion.
Participation by a government body, hospital, healthcare organisation, university or other stakeholder does not constitute endorsement of the Alliance or any Member unless expressly stated by that organisation.
17. PROFESSIONAL INTRODUCTIONS
The Alliance may from time to time facilitate professional introductions or connections.
Unless expressly agreed otherwise in writing:
• an introduction is for professional connection purposes only;
• no outcome is guaranteed;
• the Alliance makes no warranty regarding either party;
• each party is responsible for its own due diligence;
• participation is voluntary; and
• the Alliance is not a party to any subsequent agreement or transaction.
• Any commercial, professional or service arrangement entered into following an introduction remains the responsibility of the relevant parties.
18. EVENTS, FORUMS, WORKSHOPS AND ROUNDTABLES
Membership may provide access, discounted access or eligibility for selected Alliance conferences, summits, forums, workshops, webinars and roundtables.
Unless expressly stated as included in membership, event registration fees, travel, accommodation and associated costs are separate.
Programs, speakers, venues, dates, formats and content may change where reasonably necessary.
Separate event Terms and Conditions, Codes of Conduct or participation requirements may apply to individual activities.
19. SPEAKING, SPONSORSHIP, EXHIBITION AND PROMOTIONAL OPPORTUNITIES
Membership does not automatically create a right or entitlement to:
• speak at an Alliance event;
• participate on a panel, roundtable or workshop;
• sponsor an event, program or activity;
• exhibit at an event;
• distribute promotional or marketing materials;
• access delegate, attendee, Member or stakeholder information;
• publish or contribute content through Alliance websites, publications, newsletters, social media or other communications;
• receive promotional exposure or recognition; or
• represent or speak on behalf of the Alliance.
The Alliance may determine the format, content, speakers, panellists, sponsors, exhibitors and promotional participants for its events, programs and activities.
In making programming and participation decisions, the Alliance may consider subject relevance, expertise, program objectives, audience requirements, stakeholder considerations, conflicts of interest, professional standards, sector representation and the overall interests and integrity of the Alliance.
The Alliance retains editorial, programming and curatorial control over its events, forums, workshops, roundtables, publications, websites and communications.
Payment of a membership fee does not guarantee a speaking, sponsorship, exhibition, promotional or publishing opportunity unless that benefit has been expressly included in the applicable membership package or separately agreed in writing.
20. EVENT ATTENDEE INFORMATION AND MARKETING CONSENT
Where access to event attendee contact information is expressly offered as a membership, sponsorship or event benefit, information will only be provided where the relevant attendees have given appropriate consent for their information to be shared for that purpose.
Any collection, disclosure or use of attendee information remains subject to:
• applicable privacy laws;
• the Alliance’s Privacy Policy;
• the scope of the attendee’s consent; and
• any conditions imposed by the Alliance.
Membership does not provide an automatic right to the Alliance’s Member, attendee, hospital, government, stakeholder or contact databases.
Contact information obtained through an Alliance activity must not be used for inappropriate, excessive, misleading or unsolicited marketing.
21. INFORMATION AND EDUCATIONAL CONTENT
Information provided through the Alliance or Hospital to Home Pathway is provided for general professional education, information sharing and industry discussion.
Unless expressly agreed otherwise in writing, it does not constitute:
• legal advice;
• financial advice;
• taxation advice;
• investment advice;
• clinical or medical advice;
• regulatory advice;
• individual participant advice; or
• individual patient advice.
Members should obtain appropriate independent professional advice before acting on information received through Alliance activities.
22. INDEPENDENT DUE DILIGENCE
Members are responsible for conducting their own due diligence regarding any organisation, professional, service provider, property, development, investment, housing opportunity, funding pathway, care arrangement or other opportunity encountered through the Alliance.
Membership or participation in an Alliance activity should not be relied upon as evidence of another organisation’s regulatory compliance, professional competence, financial standing, service quality, investment suitability or suitability for a particular individual.
23. PRIVACY AND MEMBER INFORMATION
Members must provide accurate and current organisational and contact information.
Personal information will be handled in accordance with the Alliance’s Privacy Policy and applicable Australian privacy laws.
Members consent to receiving communications reasonably connected with their membership, including membership administration, Member updates, events, educational programs, professional forums, webinars, consultations, industry information and Alliance activities.
Any separate marketing communications requiring consent will be managed in accordance with applicable privacy and marketing laws and the relevant consent provided.
The Alliance will not provide confidential patient or participant information to a Member merely because that person or organisation holds membership.
24. INTELLECTUAL PROPERTY AND BRANDING
All intellectual property associated with the Alliance remains the property of the Alliance or the applicable rights holder.
This includes Alliance names, program names, branding, logos, publications, reports, research, website content, event materials, educational resources, presentations, program concepts and other proprietary material.
Membership does not transfer ownership of or unrestricted rights to use Alliance intellectual property.
Members must obtain appropriate approval before using Alliance logos or branding, except where the Alliance has expressly provided approved Member branding for that purpose.
Members must not alter or use Alliance intellectual property in a manner that is misleading, defamatory, unauthorised or likely to imply accreditation, endorsement or partnership.
25. CONFIDENTIALITY
Members may receive confidential, commercially sensitive or non-public information through meetings, forums, working groups, workshops and roundtables.
Where information is identified as confidential, or would reasonably be understood to be confidential, Members must not disclose, reproduce or misuse that information without appropriate authority.
Where an activity operates under the Chatham House Rule or another confidentiality protocol, Members must comply with that requirement.
Confidentiality obligations survive expiry, resignation or termination of membership.
26. MEMBERSHIP FEES
Membership fees apply to the relevant membership period and must be paid in accordance with the payment terms provided by the Alliance.
The Alliance may amend membership fees for future membership periods.
Changes to membership fees will ordinarily apply from a Member’s next renewal unless otherwise required by law or expressly agreed in writing.
Membership fees represent access to the applicable membership offering and benefits during the membership period and are not calculated according to actual attendance or utilisation.
27. REFUND POLICY
Applicants should choose their membership category carefully.
Once a paid membership application has been approved and membership activated, membership fees are non-refundable for change of mind, subject to any statutory rights or remedies that cannot lawfully be excluded.
A refund or pro-rata refund will not ordinarily be provided because a Member:
• changes their mind;
• decides membership is no longer required;
• does not attend events, workshops, forums or roundtables;
• does not utilise available membership benefits;
• is unable to participate because of travel, staffing, scheduling or business circumstances;
• changes employment;
• changes personnel, ownership or management;
• changes or ceases business operations;
• resigns before the end of the membership period;
• does not receive an anticipated invitation;
• is not selected for a restricted or invitation-only activity;
• does not receive a professional introduction;
• does not obtain a referral;
• does not obtain a patient, participant or client;
• does not obtain a housing or accommodation placement;
• does not obtain occupancy;
• does not obtain funding, finance or investment;
• does not obtain a contract or service agreement;
• does not receive government or hospital access; or
• does not achieve an anticipated professional or commercial outcome.
Where the Alliance declines a paid membership application before membership is activated, the applicable membership fee will be refunded.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully be excluded under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or other applicable legislation.
28. SUSPENSION, RESTRICTION OR TERMINATION OF MEMBERSHIP
The Alliance may suspend, restrict or terminate membership where a Member:
• materially breaches these Terms;
• breaches an applicable Code of Conduct;
• fails to pay an amount properly due;
• provides materially false or misleading information;
• improperly solicits patients, participants or stakeholders;
• misuses confidential information;
• misuses Alliance intellectual property or branding;
• falsely represents Alliance accreditation or endorsement;
• engages in serious or repeated inappropriate conduct;
• creates a material legal, regulatory, professional, safety or reputational risk; or
• otherwise engages in serious conduct inconsistent with the professional purpose of the Alliance.
Where reasonably practicable and appropriate, the Member may be provided with an opportunity to respond before termination.
The Alliance may impose a temporary restriction or suspension while a serious matter is reviewed where reasonably necessary to protect stakeholders, participants, the Alliance or the integrity of an activity.
Where membership is terminated because of a Member’s material breach or serious misconduct, membership fees already paid will not ordinarily be refunded, subject to applicable law.
29. RESIGNATION
A Member may resign at any time by providing written notice to the Alliance.
Early resignation does not ordinarily entitle the Member to a refund or pro-rata refund of membership fees already paid, subject to applicable law.
Membership benefits cease upon the effective date of resignation unless otherwise agreed in writing.
30. DEVELOPMENT AND CHANGES TO MEMBERSHIP BENEFITS
The Alliance may reasonably develop, amend, replace, expand or discontinue particular membership benefits or activities as its programs, strategic priorities, stakeholder requirements, industry environment and operations evolve.
The Alliance does not guarantee that every event, program, stakeholder engagement, benefit or opportunity offered during one membership period will be repeated during a subsequent period.
Material changes affecting an existing paid membership will be communicated where reasonably practicable and managed in accordance with these Terms and applicable law.
31. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Alliance will not be liable for indirect, incidental, special or consequential loss arising from membership, participation in Alliance activities, reliance upon general educational information, or dealings between Members or third parties.
This may include loss of revenue, profit, business, opportunity, anticipated savings or goodwill.
Nothing in these Terms excludes, restricts or modifies any statutory guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified.
32. DEALINGS BETWEEN MEMBERS AND THIRD PARTIES
Members remain independent organisations and professionals.
Membership does not create a partnership, joint venture, agency relationship, employment relationship, fiduciary relationship, franchise, referral arrangement or authority to bind the Alliance.
The Alliance is not responsible for independent contracts, arrangements, disputes, losses or liabilities arising between Members or between a Member and a third party.
Where Members enter into commercial, service, housing, investment or other arrangements with another organisation introduced or encountered through the Alliance, each party remains responsible for its own due diligence, professional obligations and contractual arrangements.
33. FORCE MAJEURE
The Alliance will not be liable for delay, interruption, cancellation or inability to provide a particular membership activity due to circumstances beyond its reasonable control.
Such circumstances may include natural disasters, severe weather, public health emergencies, government action, industrial disputes, venue closures, travel disruption, telecommunications failures or other comparable circumstances.
Where reasonably practicable, the Alliance may provide an alternative date, format, delivery method or activity.
34. GOVERNING LAW
These Terms are governed by the laws of Western Australia, Australia.
Subject to any statutory rights concerning jurisdiction, the parties submit to the jurisdiction of the courts of Western Australia and courts competent to hear appeals from those courts.
35. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be read down to the extent necessary to make it valid and enforceable.
Where it cannot be read down, it will be severed without affecting the validity or enforceability of the remaining provisions.
36. VARIATION OF TERMS
The Alliance may amend these Terms from time to time where reasonably necessary to reflect:
• changes to Alliance activities;
• membership arrangements;
• legislative or regulatory requirements;
• stakeholder requirements;
• operational requirements; or
• industry developments.
The Terms applying at the commencement or renewal of a paid membership will generally govern that membership period, except where an amendment is required by law or reasonably necessary for regulatory, security, administrative or operational purposes.
Material amendments affecting existing paid Members will be communicated where reasonably practicable.
37. ENTIRE MEMBERSHIP TERMS
These Terms, together with the membership information published by the Alliance, the Alliance Privacy Policy, applicable Codes of Conduct, specific event or program conditions and any specific written agreement between the Alliance and a Member, constitute the terms governing membership.
Where specific written terms are agreed for a particular membership arrangement, those specific terms prevail to the extent of any inconsistency.
38. ACCEPTANCE OF TERMS
By applying for, paying for, renewing or accepting membership or complimentary participation, the applicant confirms that:
• they have read and understood these Terms;
• they agree to comply with these Terms and applicable Alliance policies;
• information supplied in their application is accurate;
• where applying on behalf of an organisation, they have authority to do so;
• they have selected the appropriate membership category;
• they understand that membership does not constitute accreditation, approval, recommendation, endorsement or preferred-provider status;
• they understand that membership does not guarantee referrals, patients, participants, clients, housing or accommodation placements, occupancy, contracts, funding, investment, professional introductions, government access, hospital access or other commercial outcomes;
• they understand that eligibility for selected or restricted activities does not guarantee participation;
• they understand and accept the applicable membership fee and refund conditions; and
• they agree to conduct themselves professionally and in accordance with any applicable Alliance Code of Conduct.
39. MEMBERSHIP PAYMENT ACKNOWLEDGEMENT
Before completing payment for a paid membership, the applicant may be required to acknowledge that:
Membership fees become non-refundable once the application has been approved and membership activated, except where a refund or other remedy is required by applicable Australian law.
The applicant further acknowledges that membership provides professional, educational and engagement opportunities only and does not constitute accreditation, endorsement, preferred-provider status or a guarantee of referrals, participants, placements, contracts, funding, government or hospital access, or any other professional or commercial outcome.
